Requirements by State

加州政府要求

1.        Name of the corporation. Name has to end in Corp., Inc., or Co. To avoid rejection based on someone else already using the same name, it is better to submit at least 3 names so that we can do preliminary screening.

2.        Name and address of initial agent for service of process.

3.        Class or classes and number of shares of stock the corporation will be authorized to issue.

Most companies start with just a single class of common stock and 10,000,000 authorized shares. This can be changed later.

4.        Signed by the initial incorporator or initial director.

This cannot be faxed. We can also act as the initial incorporator.

1.        Federal tax ID number.

2.        If you plan to have employees and pay salaries, you will also need to apply for an employer’s ID number with the Employment Development Department of California.

3.        Resale permit from the State Board of Equalization, if you plan to be selling merchandise.

4.        Business license from the city in which the company intends to do business.
